How the math works

Target end value = equity × (1 + IRR)^years. True-up = target − actual distributions, floored at zero.

Lookback math breaks assumption that LP received steady pref during hold. Real distributions arrive at irregular intervals; true economic lookback requires XIRR-based comparison, not simple compounded math. Insist on cash-flow-schedule based lookback language in operating agreements.

Lookback clause?

LP guaranteed a minimum IRR at exit — if actual returns short of target, sponsor funds the gap before taking promote. Protects LPs against weak execution or unfavorable exit timing.

Typical lookback?

8-10% IRR minimum typical. Funded from sponsor promote first. If promote insufficient, sponsor may be required to return prior distributions. Tight lookback (>12%) rare — reduces deal availability.

How clawback works?

Calculated on LP realized IRR vs target at exit. Shortfall funded from sponsor's share of exit proceeds, then from sponsor's retained promote. Some clauses reach back years — force sponsor to repay earlier distributions. Review provision carefully.

How often should I rerun this?

Rerun this calculator whenever inputs change materially — new rent roll data, rate moves, loan balance updates, or quarterly operating data. For active deals, monthly refresh is typical. For stabilized assets under monitoring, quarterly is fine. Treat the output as a decision tool, not a one-time answer — market conditions evolve and so should your analysis.
